The Company
PLFS Investments Limited is a full-fledged merchant bank registered with the Bangladesh Securities and Exchange Commission (BSEC).
The Company, PLFS Investments Limited, was incorporated in 1998 as ‘Mercantile Securities Limited’ by a group of people other than its current shareholders. Mercantile Securities Limited received a Merchant Banking License from the Bangladesh Securities and Exchange Commission in 1999. Peoples’ Leasing and Financial Services Limited acquired a 30% ownership stake (60,000 shares of Taka 100 each) in Mercantile Securities Limited in 2007. Following that, in 2008, Peoples’ Leasing acquired an additional 20% ownership stake (40,000 shares of Taka 100 each) in the Merchant Banking Company. Some Former Directors of Peoples’ Leasing acquired residual 50% ownership (100,000 shares of Taka 100 each) of Mercantile Securities Limited from its previous owners in the same year. Currently, People’s Leasing holds 83% of the shares of PLFS Investments Limited.
Background
PLFS Investments Limited was registered under the Companies Act, 1994 as a private
Limited Company on 3rd of June 1998. The Company obtained
License/Registration from Bangladesh Securities and Exchange Commission as a
Merchant Banker on 31st August of 1999 and commenced its operation
as Merchant Bank from December 2008. PLFS Investments Limited is a company with
a goal to conduct merchant banking activities and play active role in the
capital market of Bangladesh.
The principal activities of the Company are Portfolio Management, Issue Management, Underwriting,
Margin loan operation, Depository Participant (DP) Services and other services
as required thereof.
Company’s Functions
As a full-fledged merchant bank, PLFS Investments Limited is licensed to perform
three functions – Portfolio Management, Issue Management and Underwriting. The
Company manages its Proprietary Investment Portfolios as well as Clients’
Investment Portfolios. PLFS Investments Limited managed three issues namely –
Malek Spinning Mills Limited, National Feed Mill Limited and Olympic
Accessories Limited. The Company participated in numerous underwriting of
Initial Public Offerings, Repeat Public Offerings and Right Share Offerings. As
an Eligible Investor (EI), PLFS Investments Limited also participated in many
Initial Public Offerings coming under Book Building Method and Fixed Price
Method.
